The model

The Energy and Infrastructure Services Agreement

Long-term ownership of energy infrastructure by a dedicated partner is a proven model – it underpins utilities, district energy, and heavy industry. We bring that same structure to a single building or campus, at a scale that has never been accessible to owners before now.

01

Assessment

We survey the existing energy and mechanical plant: condition, age, remaining useful life, consumption, regulatory exposure, and replacement cost. The assessment is delivered to the owner whether or not the transaction proceeds.

02

Acquisition

We purchase the existing infrastructure at independently supported value. Proceeds are unrestricted and paid at closing.

03

Agreement

A long-term Energy and Infrastructure Services Agreement governs the relationship, defining the systems in scope, guaranteeing service levels, the fee and its escalation, our investment obligations, and the owner’s options at expiry.

04

Investment

We fund and execute the modernization and replacement program: high-efficiency generation, ground-source and heat-recovery systems where site conditions are favorable, controls and metering, distribution, and on-site generation and storage where the economics are supportive.

05

Operation

We operate and maintain the systems for the term, measured against contractual service levels and reported to the owner on a continuous basis.

At design stage

On new construction.

There is no plant to survey and none to buy, so the first two steps fall away. The energy infrastructure enters the capital stack at the design stage, funded and owned by us on the same long-dated terms. The proceeds reduce the equity required at financial close.

What stays the same

The real estate is not conveyed, and the agreement covers only defined equipment and a defined service. How you run the building – staffing, operations, hours, and day-to-day decisions – is unaffected. Nothing outside that scope changes.

Comparison

Not an ESCO. The risk sits with us.

An energy services company is paid to build

An ESCO delivers a project, invoices against it, and moves on. The title stays with you, and so does the capital obligation and the risk that the projected savings never show up.

We are paid to perform

We take the title and assume the obligation. Our fee depends on the systems delivering across the full term, not on signing a construction contract. If the system underperforms, that is our problem, not yours.

Assessment

Start with what the plant is worth.

We survey the plant and price it.
